This HIPAA Statement explains how Medguard Solutions approaches health information privacy and security in connection with its website, equipment maintenance programs, program administration, reporting, analytics, consulting, and related services.

Medguard's public website is intended for business and informational use.
The public website is not intended for the submission of protected health information, patient records, patient-identifiable information, diagnosis information, treatment information, or other sensitive health information.
Please do not submit protected health information through general website contact forms, demo requests, consultation requests, or general email unless specifically instructed to do so through an approved secure channel.
2. HIPAA Applicability
The Health Insurance Portability and Accountability Act of 1996 and its implementing regulations ("HIPAA") may apply when Medguard, USMEDIC, or an affiliated service provider creates, receives, maintains, or transmits protected health information on behalf of a covered entity or business associate.
Depending on the services provided and the customer relationship, Medguard or USMEDIC may act as a business associate or subcontractor business associate.
When HIPAA applies, protected health information will be handled in accordance with applicable law and applicable written agreements, including any business associate agreement.
3. Business Associate Agreements
When required, Medguard or USMEDIC may enter into a business associate agreement with a covered entity, business associate, or other appropriate party.
A business associate agreement may describe permitted uses and disclosures of protected health information, safeguard obligations, reporting obligations, subcontractor requirements, and other HIPAA-related responsibilities.
If there is any conflict between this HIPAA Statement and an applicable business associate agreement, the business associate agreement will govern with respect to protected health information.
4. Use and Disclosure of Protected Health Information
When Medguard or USMEDIC receives protected health information in a role subject to HIPAA, we use or disclose that information only as permitted by applicable law and applicable agreements.
Permitted uses may include supporting equipment maintenance programs, service coordination, claims or service event administration, documentation, reporting, analytics, compliance support, billing review, and related services.
We do not use protected health information for unrelated purposes unless permitted by law and applicable agreements.
5. Safeguards
Medguard and USMEDIC use reasonable administrative, technical, physical, and organizational safeguards designed to protect information handled in connection with services.
Safeguards may include access controls, user authentication, secure data storage, workforce controls, vendor management, incident response processes, and other measures appropriate to the nature of the information.
No system can guarantee absolute security, but Medguard and USMEDIC seek to use safeguards appropriate to the services provided and the information handled.

Protected health information should only be submitted through approved secure channels.
General website forms and general email may not be appropriate for protected health information.
Customers and authorized users should follow applicable onboarding instructions, portal guidance, business associate agreements, and service agreements when submitting sensitive information.

Medguard is not generally the healthcare provider or health plan responsible for responding directly to patient requests regarding medical records, treatment information, amendments, restrictions, accounting of disclosures, or other HIPAA individual rights.

Where applicable, Medguard or USMEDIC may assist covered entities or business associates in responding to requests as required by applicable agreements.
8. Incidents and Reporting
If Medguard or USMEDIC becomes aware of an incident involving protected health information that requires reporting under applicable law or an applicable business associate agreement, Medguard or USMEDIC will follow applicable contractual and legal requirements.

Data Processing Addendum

This Data Processing Addendum ("DPA") describes certain privacy, security, and data processing terms that may apply when Medguard Solutions processes personal information in connection with its services.
For purposes of this DPA, "Medguard," "we," "our," or "us" refers to Medguard Solutions and, where applicable, its affiliated companies, including U.S. Medical Equipment Consultants, Inc. ("USMEDIC") and Medguard Insurance Agency, LLC.
This DPA applies only to the extent it is incorporated into, referenced by, or otherwise made applicable under a written agreement between Medguard and a customer, partner, or other contracting party.
1. Scope
This DPA applies to personal information processed by Medguard, USMEDIC, or applicable affiliated service providers in connection with equipment maintenance programs, program administration, reporting, analytics, consulting, billing review, vendor coordination, insurance-related support, and related services.
This DPA does not replace any separate business associate agreement, insurance privacy notice, service agreement, program agreement, or other written agreement.
If protected health information is involved and a business associate agreement applies, the business associate agreement will control with respect to protected health information.
2. Definitions
For purposes of this DPA:
- "Applicable Privacy Laws" means U.S. federal, state, and local privacy, data protection, breach notification, consumer protection, healthcare privacy, and related laws that apply to the processing of personal information under the applicable agreement.
- "Customer" means the organization or party that has entered into an agreement with Medguard or its affiliates.
- "Customer Personal Data" means personal information processed by Medguard or its affiliates on behalf of a Customer in connection with the services.
- "Personal Information" means information that identifies, relates to, describes, or can reasonably be linked to an individual, as defined under applicable law.
- "Protected Health Information" or "PHI" has the meaning given under HIPAA.
- "Security Incident" means unauthorized access to, acquisition of, disclosure of, or use of Customer Personal Data that triggers notice obligations under applicable law or an applicable agreement.
- "Subprocessor" means a service provider, vendor, affiliate, contractor, or other third party engaged to process Customer Personal Data in connection with the services.
3. Roles of the Parties
Depending on the services and applicable law, Medguard may process Customer Personal Data as a service provider, processor, contractor, business associate, subcontractor, independent business, or other role recognized by applicable law.
The parties' roles may be further defined in the applicable written agreement.
Medguard will process Customer Personal Data only for permitted business purposes, as described in the applicable agreement, this DPA, the Privacy Policy, or as otherwise permitted by law.
4. Processing Purposes
Medguard may process Customer Personal Data for purposes including:
- Providing equipment maintenance programs and administration services.
- Reviewing maintenance contracts, invoices, claims, documentation, and service activity.
- Coordinating with vendors, service providers, administrators, customers, and authorized users.
- Maintaining client portals and account access.
- Providing reporting, analytics, cost visibility, and program insights.
- Supporting billing, payments, renewals, and related transactions.
- Supporting insurance-related offerings through Medguard Insurance Agency, LLC where applicable.
- Maintaining security, preventing fraud, and protecting systems.
- Complying with legal, regulatory, and contractual obligations.
- Performing other services described in an applicable agreement.
5. Customer Responsibilities
Customer is responsible for:
- Providing lawful instructions for processing Customer Personal Data.
- Obtaining any required consents, notices, authorizations, or permissions.
- Ensuring that Customer has the right to provide Customer Personal Data to Medguard.
- Limiting data submissions to information reasonably necessary for the services.
- Avoiding submission of protected health information through unapproved channels.
- Maintaining appropriate access controls for Customer's authorized users.
- Complying with applicable privacy, healthcare, insurance, employment, consumer protection, and data protection laws.
6. Confidentiality
Medguard will take reasonable steps to ensure that personnel who access Customer Personal Data are subject to confidentiality obligations or professional duties of confidentiality.
Customer Personal Data will be accessed only by personnel or service providers with a business need to know in connection with the services.
7. Security Measures
Medguard will maintain reasonable administrative, technical, physical, and organizational safeguards designed to protect Customer Personal Data from unauthorized access, use, disclosure, alteration, or destruction.
Safeguards may include:
- Access controls
- Authentication controls
- Role-based permissions
- Secure data storage
- Vendor management
- Workforce confidentiality controls
- Incident response procedures
- Monitoring and logging where appropriate
- Secure transmission methods where appropriate
Security measures may vary depending on the nature of the services, the type of information processed, applicable law, and applicable agreements.
8. Subprocessors and Affiliates
Customer authorizes Medguard to use affiliates and subprocessors to provide the services.
Subprocessors may include hosting providers, software providers, CRM providers, analytics providers, communication providers, payment or billing providers, security providers, vendors, consultants, administrators, insurance-related partners, and affiliated companies.
USMEDIC may provide program administration, maintenance support, documentation review, billing review, reporting, analytics, and related support.
Medguard Insurance Agency, LLC may process information related to insurance offerings where applicable.
Medguard will use reasonable efforts to ensure subprocessors are subject to appropriate confidentiality and data protection obligations.
9. Assistance with Privacy Requests
To the extent required by applicable law and the applicable agreement, Medguard will provide reasonable assistance to Customer in responding to privacy rights requests involving Customer Personal Data.
Such requests may include access, correction, deletion, portability, opt-out, or other rights available under applicable law.
Medguard may decline requests that are not legally required, are not verifiable, are outside the scope of the services, or are inconsistent with legal, regulatory, contractual, or security obligations.
10. Security Incidents
If Medguard becomes aware of a Security Incident involving Customer Personal Data, Medguard will notify Customer as required by applicable law or the applicable agreement.
Notification may include available information regarding the nature of the incident, affected data, remedial measures, and steps Customer may need to take, to the extent known and legally permissible.
Medguard's notice of a Security Incident is not an admission of fault or liability.
11. Return or Deletion of Data
Upon termination of the applicable agreement, Medguard will return, delete, de-identify, or retain Customer Personal Data in accordance with the applicable agreement, legal obligations, recordkeeping requirements, audit requirements, insurance requirements, dispute resolution needs, and legitimate business purposes.
Medguard may retain copies where required or permitted by law, provided such information remains subject to appropriate protections.
12. De-Identified and Aggregated Data
Medguard may create and use de-identified, aggregated, or anonymized data for analytics, benchmarking, reporting, service improvement, cost analysis, operational insights, and business purposes, provided such data does not identify an individual or Customer except as permitted by the applicable agreement.
13. Audits and Information Requests
To the extent required by applicable law or the applicable agreement, Medguard will provide reasonable information regarding its privacy and security practices.
Any audit rights, security reviews, questionnaires, or compliance assessments must be conducted in accordance with the applicable agreement and in a manner that does not compromise security, confidentiality, or other customers' information.
14. International Transfers
Medguard is based in the United States and primarily processes data in the United States.
If Customer Personal Data is transferred internationally, Medguard will use transfer mechanisms required by applicable law where applicable.
15. HIPAA
This DPA is not a business associate agreement.
If Medguard, USMEDIC, or an affiliated service provider processes protected health information in a role subject to HIPAA, the parties will enter into a business associate agreement where required.
If there is a conflict between this DPA and an applicable business associate agreement, the business associate agreement will control with respect to protected health information.
16. Order of Precedence
If there is a conflict between this DPA and another applicable written agreement, the more specific agreement will govern for the subject matter at issue.
For protected health information, an applicable business associate agreement will control.
For insurance-related information, applicable insurance privacy notices, insurance agreements, producer disclosures, or coverage documents may apply.
17. Changes to this DPA
Medguard may update this DPA from time to time.
When updated, the "Last Updated" date above will be revised.
If this DPA is incorporated into a written agreement, changes will apply as permitted by that agreement and applicable law.
